Resolutions

Shareholders and Directors make decisions by passing resolutions.  It’s the democratic way of doing things that is set out in the Articles of Association.

For day to day matters, most decisions are made by the board of directors by a majority vote and the board is required to keep a written record of their decisions.

Some decisions do not relate to day to day matters. These include:

  • Changes to the Articles of Association
  • Approval of loans to directors
  • Ratification of breaches of a director’s duty
  • Changes to the share capital of the company
  • Removal of a director
  • Purchase of own shares
