Acquisitions & Disposals

We provide a bespoke but cost-effective service. We have the experience to identify key issues and address them effectively. Some of the issues that may arise in your acquisition or disposal are:

Negotiating the heads of terms

Often, it is better to involve us at this early stage so that any fundamental issues can be identified and resolved at the outset.

Title matters

We review restrictive covenants affecting your use of the property, as well as easements (such as rights of way) that may be required over neighbouring land.

Title indemnity insurance

We cover issues with the title to the property, which cannot be resolved adequately.

Developments (Residential and Commercial)

By handling the original acquisition of a development site, we can speed up your development and ensure the subsequent sale of units on the site runs smoothly, as we will have detailed knowledge of the site.

Searches

At the outset, we would discuss with you which searches we recommend and why. Many searches can be property-specific, such as a search with the Coal Authority if your property is in an area formerly used for underground mining.

Funding arrangements

We will work alongside your lenders, financial advisors and accountants to ensure funding for the transaction is put in place smoothly.  With our experience, we are aware of the requirements of all major lenders and can anticipate and resolve any issues that may arise.

Timescale

Wherever possible, we will try to meet the timescale set by you to achieve your business objectives. We are used to working to deadlines, and we will know and advise you at an early stage if these timescales are realistic.

Stamp Duty

We will advise you at the outset if you are likely to pay stamp duty on your acquisition, and we will prepare and submit on your behalf the necessary stamp duty land tax forms on completion of your transaction and within the deadline set by HM Revenue and Customs.

Adverse Possession

An issue may arise where, for some reason, no documentary evidence of title can be produced, maybe because title deeds have been lost or if land has been in your possession for several years, but no transfer of the land into your name has taken place.

In this situation, it may be possible to make an application to the land registry for a “possessory" title. Statutory declaration evidence would need to be produced to the Land Registry to support the application. Our solicitors have experience and can assist in dealing with this and advising you regarding the likelihood of your application being successful.

When you are selling a business we can:

  • In partnership with your tax advisors structure the deal to minimise your tax liability.

Deeds of Easement

It may be necessary to grant an easement, such as a right of way, over neighbouring land to facilitate a development or to rectify a defect in title.
This could amount to dealing with:

First Registrations

First Registrations

Whilst many properties are registered at the Land Registry, there are still large tracts of land which are unregistered, usually because the land has remained in the same family ownership for a number of years. This could be any area of land, from a small area adjoining a house to a large estate.

Making an application to register may be advisable, especially if this is to be sold or if you just want to protect against third-party interests. By registering your property, you will receive notification of any dealings which the Land Registry receive in connection with that land.

Commercial Landlord & Tenant

Our commercial property team handles a range of matters related to leases and always strives to meet and exceed our clients' expectations. A core concern for many clients and businesses is to budget for costs from the outset. Therefore, we aim to identify deliverable and cost-effective solutions from start to finish whilst working to a high standard.

There are several things to consider when negotiating a new lease, and early advice can help identify these issues quickly. For example:

  • Is the tenant responsible for all repairs and decorations, or just for keeping the property in the same condition it is at the start of the lease?
  • Who is responsible for particular costs in the preparation of lease documents?
  • Does either party require a break clause to allow for the possibility of early termination of the lease?
  • Will a particular lease involve a Stamp Duty Land Tax charge?

It is always advisable to receive knowledgeable legal advice on all lease-related matters, as they are often complex. We ensure you fully understand your obligations under the lease and make you aware of any implications to avoid costly mistakes at a later date.

Some key issues to consider in relation to leases are:

Term length

It is always worthwhile for both parties to a commercial lease to establish the best approach which suits the business and position. For example, as a tenant, do you see your business outgrowing a particular premises in a short time?

Rent review

A key aspect of most commercial leases. This should never be overlooked by either party, and legal advice should always be sought to ensure a fair rent. We can provide assistance on all legal matters connected with rent and rent reviews, particularly if you feel the rent review mechanism is unfair.

Break clauses

I.e. whether either party is entitled to terminate the lease early. Without this clause, most tenants often find themselves 'stuck' with a lease they no longer require. We can advise on all matters connected with break clauses and whether you have the right to end the lease, and if so, how this should be done.

Repairs, alterations and improvements

Most landlords often wish to keep total control over the structure of the building and from a landlord's perspective, a carefully drafted lease should reflect this whilst emphasising the tenant is liable for repairs, which can range from full external and internal repairs to contributing towards the landlord's repair costs.

Assignment and sub-letting

Most tenants seek the freedom to assign and sub-let as they please. However, landlords often seek to restrict this freedom (including requiring guarantees from outgoing tenants in the form of authorised guarantee agreements), and as a result, lease provisions often become overly complicated and difficult to understand when trying to determine if the lease can be assigned or sublet. We can assist with all types of assignments and sub-lets.

Forfeiture

Where necessary, we can assist with the repossession of a commercial property, including terminating the lease and handing control back to the landlord. We can advise you on correct procedures and seek to ensure that the lease is forfeited through peaceful entry of the premises, changing the locks and correctly displaying the notices of forfeiture or through Court proceedings if necessary.

Options & Overage

Our solicitors have experience of dealing with conditional agreements, such as agreements conditional on planning permission for development, which may be combined with overage provisions whereby additional consideration is payable in the event of planning permission being granted.

Our solicitors also have experience of dealing with options to purchase over land with property owners whilst planning is sought. The options enable the developer and the property owners to be confident that a binding agreement is in place before significant expenditure is incurred in pursuing the planning application.

We work alongside all the major lenders and have detailed knowledge of their requirements. We regularly deal with the following types of security:

  • Mortgages and Charges – including first and second charges over property and other assets
  • Debentures – incorporating fixed and floating charges over the company’s assets
  • Charges over specific assets – such as money deposits, equipment, and other tangible assets
